Board

NHS East Midlands is governed by the NHS Midlands and East Board. It is responsible for overseeing all aspects of the SHA's actviity and monitoring performance of all NHS organisations within the East Midlands area. Key functions of NHS East Midlands Board are:

  • Strategic Leadership

  • Organisational and workforce development

  • Ensuring local systems operate effectively and deliver improved performance.

 

SHAs - relationships and accountability  

In discharging these functions, SHAs:

  • Must work in partnership with their PCTs and regional organisations

  • Hold PCTs to account for their performance

  • Are held to account by the Department of Health for ensuring local health systems operate effectively and in line with government policy.

NHS East Midlands is governed by the NHS Midlands and East Board of Directors.

The Board is central to corporate governance and is made up of a Non Executive Chairman, Non Executive Directors and Executive Directors, headed by the Chief Executive. All of the Board members take collective responsibility for the Board's decisions and performance.

Executive Directors are appointed by the Board and Non-Executive Directors are appointed by the Appointments Commission.

Dates of our future Board meetings are published on this website. The venue rotates around our three main sites in Birmingham, Cambridge and Nottingham.

The public are welcome to attend our Public Board meetings - alternatively they can be viewed via video conference from the other two offices.

Board meetings

NHS East Midlands as a public organisation holds Board meetings in public in the interests of openness and to allow public scrutiny. As a member of the public, you can attend public Board meetings and download the papers for the next meeting or for previous meetings.

The Department of Health has provided guidance on how NHS Board meetings should be run. Health Service Circular 1998/207 (the guidance) summarises the relevant legislation and sets out good practice for Board meetings.


 

Convening meetings

NHS East Midlands conducts it's Board meetings in public and the Board welcomes attendance at the meeting. Dates for all Board meetings are advertised on our website at least one week in advance.

Meetings are convened in accordance with the guidance. This includes:

  • The date, time and location of the meetings are published on our website
  • There are suitable facilities for the public to attend the meeting
  • The Chairman welcomes members of the public to meetings.

 


 

Business of the meeting

The guidance makes it clear that, unless decisions are made openly, accountability and transparency of the Board is undermined.  Members of the public are welcome to attend meetings of the Board - which although being held in public are not public meetings. Members of the public and press do not have speaking rights but may submit questions in writing to the Chairman at least three clear working days before the Board meeting. Members of the public who wish to submit a question will be asked to identify themselves and to declare any formal affiliations.

From time to time there are occasions when NHS East Midlands will need to consider agenda items which are confidential and cannot be discussed in public.  The Public Bodies (Admission to Meetings Act 1960) permits the Board to pass a resolution at the meeting to exclude the public and press from the meeting "whenever publicity would be prejudicial to the public interest by reason of the confidential nature of the business...or for other special reasons stated in the resolution". Whenever a Board resolution to conduct business in private is passed, the resolution itself should be made in public and should state in broad terms the nature of the business to be discussed.

The guidance also provides that if it is to discuss certain business or answer questions that could cause real harm to individuals, then it may be done in private. The following are examples of business which will be discussed in private:

  • The Financial business of another person, other than the SHA

  • Financial details or proposed contractual terms of any contract for goods or services, or the disposal or acquisition of land.  

The Chairman has overall and final responsibility for the running of Board meetings. The Chair has discretion to ensure that all business is transacted in accordance with the guidance and relevant legislation.
